Course abstract

The course provides theoretical knowledge of the legal framework for business, the legal forms of business organization, European companies and their establishment, reorganization and liquidation. The course analyses individual kinds of commercial transactions. Students build up practical skills to apply theoretical knowledge in the field of commercial law: to independently draw up documents related to the establishment, reorganization and liquidation of companies, as well as the conclusion of commercial transactions

Learning outcomes and their assessment

Students will be able to demonstrate:
KNOWLEDGE of
1. The legal forms of business organization, the establishment, reorganization and liquidation of companies and relevant supervisory bodies. Independent work – solving a legal case. Practicals. Test 1.
2. The concept and kinds of commercial transactions and procedures for concluding commercial transactions. Independent work – solving a legal case. Practicals. Test 2.
SKILLS to
1. Apply the theoretical knowledge acquired in the field of commercial law in professional activities, recommend the necessary amendments in the legal documents governing the activities of a businessperson. Independent work – solving a legal case. Practicals.
2. Reasonably discuss matters and problems relevant to commercial law. Practicals.
COMPETENCES to
1. Independently analyse legal relations related to commercial law and identify the applicable legal provisions. Independent work – solving a legal case. Practicals.

Course Content(Calendar)

1. Concept, principles and sources of commercial law. (2 h lectures)
2. Concepts of a businessperson, a firm, commercial activity and economic activity. Legal forms of business organization. (2 h lectures, 1 h practical)
3. Commercial register, the concept, role and structure thereof, the information to be recorded and their classification, publicity and its consequences. (2 h lectures)
4. Procuration and ordinary commercial power of attorney. (2 h lectures, 1 h practical)
5. Commercial agent and broker. (2 h lectures, 1 h practical)
6. Individual merchant. Partnerships. (3 h lectures, 1 h practical)
7. Capital companies, the concept and kinds. (3 h lectures, 1 h practical)
8. Reorganization of commercial companies. (2 h lectures)

9. Other forms of business organization: Cooperative society. Forms of business organization governed by European Union law. (2 h lectures)

Requirements for awarding credit points

The student must successfully complete two tests and four pieces of independent work.

Description of the organization and tasks of students’ independent work

1. Independent work. Application of Commercial Law provisions in drawing up company establishment documents. To be submitted electronically.
2. Independent work. Procuration and ordinary commercial power of attorney. Commercial agent and broker. Solving a legal case and defending the solution during practicals. To be submitted electronically.

Criteria for Evaluating Learning Outcomes

The final mark represents a cumulative assessment of the tests and independent work. Each test makes up 40% of the total assessment, while the activity of the student during practicals when doing an assignment and defending the result makes up 20%. 10% are equal to one point on a 10-point marking scale.
